What is the difference between "too many processes" and "too many processes running"

What is the difference between "too many processes" and "too many processes running"

I'm guessing that the first is the count of ps -something and the second would be the value I see in the R column in vmstat. Is that correct?

a process running is one that is using CPU.
The other is count of processes.
